Enchi Gold Project - Ghana
Earn-in Details
To earn 51% of Red Back's ownership in the Enchi Project licences (45.9% direct interest in the Project) Edgewater is required to spend a total of $C5.0 million on work expenditures on the Enchi Gold Project within twenty-six months of the closing of the transaction ("Closing") with $C 2.0 million required to be spent within 14 months of Closing. Once Edgewater has completed a total of C$5.0 million in work expenditures on the Project within 26 months, Edgewater will have earned and vested in a 51% interest in Red Back's ownership of the Project and a joint venture company ("JVCO") will be formed. The initial share ownership in JVCO will be as follows:
Edgewater 45.9%
Red Back 44.1%
Ghana Government 10.0%
Once the JVCO is formed, Red Back and Edgewater will share all future exploration and development expenditures pro-rata. Edgewater will be Operator of the Project during the Option period. Once a joint venture is formed, Edgewater will continue to be the Operator as long as the Company holds the largest equity stake in JVCO.
Property Description and Location
Red Back and previous workers have discovered and identified 16 separate gold mineralized zones on the Enchi Project that have the characteristics of classic Pre-Cambrian Greenstone-hosted quartz vein style gold deposits. This style of gold mineralization is the most important type of gold occurrence in West Africa and is commonly referred to as the" Ashanti-type" in this region of West Africa.
The Enchi Project is located in south-western Ghana, in a region well known for prolific and low cost gold production, hosting numerous historical and currently operating open pit and underground gold mines located along strike to the northeast of the Project. In 2009, Ghana was the second largest gold producer in Africa, after South Africa, with annualized gold production of 2.9 million ounces. The Enchi Project covers a 50 kilometre (km) strike length of the well known and prolific Bibiani Shear Zone, situated along the eastern margin of the Sefwi Belt stretching from the Cote d'Ivoire border in the southwest to the southern margin of the Suhuma Forest Reserve, to the northeast. The Project is located 290 km west of the capital of Accra and 70 km southwest of the Chirano Mine operated by Red Back Mining Inc. ("Red Back").
The project area is comprised of eight contiguous licences currently held 90% by Red Back and 10% by the Government of Ghana. Edgewater Exploration has signed an Option-Joint Venture agreement with Red Back, whereby Edgewater Exploration can earn 51% interest in Red Back's ownership interest in the Enchi Project. Corcoesto Gold Project - Spain
As announced on July 28, 2010 Edgewater has entered into a definitive share purchase agreement dated July 27th to purchase all of the outstanding shares of Rio Narcea Gold Mines S.L a wholly-owned subsidiary of Lundin Mining Corporation. The purchase will be subject to Regulatory Approval.
Rio Narcea owns a 100% interest in the Malpica-Tuy Gold Project including the Corcoesto Gold Deposit in north-west Spain as well as an additional 7 gold and gold-copper projects totalling 50,013 ha in south-west Spain. The all-cash purchase terms are as follows:
On Closing: US$1,000,000
Six (6) Months from Closing: US$4,000,000
Twelve (12) Months from Closing: US$3,000,000
Total: US$8,000,000
Lundin will retain a 1.5% Net Smelter Return ("NSR") Royalty upon the commencement of commercial production from the Corcoesto Gold Property subject to Edgewater having the right to re-purchase 1.0% of the royalty at any time after Closing for US$1,500,000.
Property Description, Location and Accessibility
The Corcoesto Gold Property (the "Property") is an advanced-stage gold exploration project situated in northwest Spain, approximately 36 km west-southwest of the port city of La Coruña in the Galician Autonomous Community. It is located approximately 1.5 km east of the village of Corcoesto, approximately 12 km west of the town of Carballo. The project has excellent infrastructure including a network of paved road access and a 22 Kv power-line that crosses the property. Galicia is one of the most pro mining regions in Spain with a number of active open-pit granite, slate, marble and coal mines currently in operation.
Location Map and Claim Boundaries
The Corcoesto region has limited commercial infrastructure, mainly consisting of local farming and agricultural activities. Although there are several small farms within a radius of 10 km of the project area, the primary targets for exploration and development are not in cultivated areas. The village of Corcoesto consists of small scattered centers of population located west, but outside the area to be affected by the planned mining operations. (Read More)

George Salamis
President & CEO, Director
Mr. Salamis has previously held senior management positions with well-established mining companies, most notably Placer Dome Inc. and Cameco Corporation, in addition to his successful formation and management of several junior mining companies listed in Europe and North America. Mr. Salamis has over 20 years experience directing the exploration, development and mining operations of a number of gold, base metal and coal projects in many different regions of the world. In recent years, he has also played an integral role, both executive and non-executive, in several large M&A transactions valued at over $US 1 billion and significant financing initiatives, raising over $US 800 million in equity financing for various resource companies. Mr. Salamis holds a degree in Geology from the Universite de Montreal - Ecole Polytechnique.
Edward Farrauto
CFO, Director
Mr. Farrauto formed Edgewater Exploration in June 2007; he has 15 years experience working as Chief Financial Officer and Director of public companies. Mr. Farrauto was involved in the reverse takeover of Atlas Cromwell to form Terrane Metals in early 2006. Mr. Farrauto is the President of Sail View Capital, a financial services firm that has completed additional reverse takeovers such as Lions Gate Entertainment, Radiant Communications and numerous other resource companies including Calibre Mining Corp. and MBAC Fertilizer Corp. He has extensive experience overseeing private placement financings, prospectus filings and merger and acquisition transactions. He has directly been involved in over C$300 million of equity and debt financings undertaken by companies he has been associated with.
Danny Lee
Director
Danny Lee is a Chartered Accountant with over 10 years of experience in the resource sector. Most recently, Mr. Lee served as CFO of Transeuro Energy Corp. which has operations in Papua New Guinea, Ukraine, Armenia and Canada. His experience includes public company regulatory compliance, systems conversions, treasury management, human resources and financial database management. Mr. Lee holds a B.Comm from the University of British Columbia and articled with Deloitte & Touche in Vancouver, Canada.
Patrick Soares
Director
Mr. Soares, a professional geologist, is President and CEO of Brett Resources Inc. Since joining the Company in late 2007, Mr. Soares has focused his efforts on the building Brett's Hammond Reef Project from a resource of 1.8 million ounces to its current size of 6.7 million ounces. The Company's market capitalization has grown from approximately $54 million to its current $444 million. Brett has received a takeover from Osisko Mining Corp. which is expected to close on May 19, 2010. Prior to his joining Brett Mr. Soares worked in the field of Investor Relations and Corporate Development. Companies he has worked with include; Sutton Resources Ltd., acquired by Barrick Gold in 1999, EuroZinc Mining Corp., now part of Lundin Mining Corporation and Aurizon Mines Ltd.
Kim Williams
Director
Ms. Williams holds a B.A.Sc. in Marketing and Management. Ms. Williams previously held the position of Assistant Vice President at Endeavour Financial Ltd. ("Endeavour"), a financial advisory firm focused on the mineral resource industry. Her responsibilities at Endeavour involved assisting clients with the implementation and closing of corporate transactions, the coordination and management of equity financings, as well as managing public company administration and regulatory compliance. Ms. Williams has over 15 years of experience in the financial and legal services industry, specifically in the resource mining sector. Prior to joining Endeavour, Ms. Williams held Corporate Communications positions with various junior public companies in the resource mining sector.
Ryan King
Director, Vice-President Corporate Communications
Mr. King has five years experience in the resource sector. Prior to joining Edgewater Exploration, he was responsible for institutional and retail marketing and investor communications with several resources companies including Terrane Metals Corp. Terrane continues to advance the 6 Million oz Gold deposit Mt. Milligan in central British Columbia. Mr. King was a member of the board of Sandwell Mining which executed a reverse takeover with MBAC Fertilizer a TSX listed company.
LLuis Boixet
Country Manager, Spain
LLuis Boixet is a professional geologist, holding a BSc in Geology from the Universitat Central de Barcelona, with over 20 years experience in resource exploration for gold and base metal. Mr Boixet has been involved in different stages for many exploration projects in the Iberian Peninsula, including the El Valle-Boinas discovery late in the eighties, up to feasibility stages for the Carles gold deposit, the Salave gold deposit and the Aguablanca Ni-Cu deposit, all of them becoming mining operations. He has been Project Geologist/Manager for the Corcoesto gold deposit since 1998, for Río Narcea Gold Mines.
Daniel Wilson
Country Manager, Ghana
Mr. Wilson has worked in the mineral exploration field for over 16 years; he has extensive experience managing field exploration and drilling programs in Africa. Mr. Wilson has previously held senior positions with Ashanti Gold Fields and Red Back Mining. During his time at Red Back Mining Mr. Wilson supervised various field exploration programs including the exploration work carried out by Red Back on the Enchi Gold Project during 2005-2006.
Kristian Dagsaan
Controller
Mr. Dagsaan is a Canadian Chartered Accountant (British Columbia) with several years of experience in the resource sector. Most recently, Mr. Dagsaan served as a Controller of an oil and gas E&P company with domestic and international operations. He articled with PricewaterhouseCoopers LLP and holds a Bachelor of Arts (Hons.) degree from Vancouver Island University.
